Festive Design & Production Standard Terms and Conditions of Sale


  1. Waiver of Client's Standard Terms
    The client explicitly waives its own standard terms and conditions, even if these were drawn up after these standard terms and conditions of sale. Any exceptions to these terms must be agreed to in writing by Festive Design & Production prior to taking effect.
  2. Payment Terms
    Our invoices are payable within 21 working days unless otherwise stated on the invoice or order. If payment is not received by the due date, Festive Design & Production reserves the right to charge a fixed interest penalty of 10% on the outstanding amount. Services may be suspended without notice in the event of late payment.
  3. Debt Recovery
    Payments outstanding for more than sixty (60) days from the due date may result in Festive Design & Production engaging a debt recovery agency. Any legal or recovery-related expenses incurred will be charged to the client.
  4. Withholding Tax
    In certain jurisdictions, withholding taxes may be applied on invoice amounts as per local regulations. Such taxes are to be borne entirely by the client and paid directly to the tax authorities. Festive Design & Production will not bear any responsibility for costs or penalties related to a country’s tax legislation. The invoice amount remains payable in full, excluding any such deductions or withholdings.
  5. Service Performance
    Festive Design & Production commits to delivering high-quality services within the agreed timelines. However, obligations are based on best efforts and cannot be deemed guarantees of results. Under no circumstances will Festive Design & Production be held liable as a third party in claims for damages brought against the client by an end customer or any other third party.
  6. Claims and Notifications
    Any claims or disputes must be submitted in writing via recorded delivery to Festive Design & Production’s registered office within 8 days of the delivery of goods or completion of services. Claims submitted beyond this period will not be considered.
  7. Governing Law
    All contractual relationships and disputes arising from them shall be governed exclusively by the laws of Hong Kong.
